Based on representational and resource-based theories, the gender diversity of the board of directors leads to the reduction of information asymmetry, increasing transparency, improving the advisory role of the board members, and as a result, it will result in the reduction of financial helplessness. Therefore, the aim of the present study is to investigate the effect of gender diversity of the board of directors on financial distress based on agency and resource-based theories in companies listed on the Tehran Stock Exchange. To test the hypotheses of the research, the financial information of the companies admitted to the Tehran Stock Exchange between 2017 and 2021 was used, so that after applying the restrictions in this research, the final sample consisting of 172 companies was selected. After measuring the research variables, multivariate linear logistic regression analysis was used to test the research hypothesis. The hypothesis test was also done using Eviews econometric software and panel data statistical techniques. The results of the statistical test of the research show that according to the prediction of representation theories and based on the resources, the gender diversity of the board of directors has a negative and significant effect on financial helplessness.
